By accessing or using the Service provided by MCP GT ("we", "us", "our"), you ("you" or "User") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Definitions

   • Account: Your user account for accessing the Service.
   • User Data: Data, content, or materials you provide via the Service.
   • Subscription: Any plan—free, flat-fee, or usage-based—you use to access the Service.
   • Free Plan: A no-cost plan with limited features or usage.
   • Usage-Based Plan: A plan based on your actual usage (e.g., API calls or tokens).
   • Flat Monthly Fee Plan: A plan with a set monthly charge for specified usage/features.
   • Service: Tools, features, analytics, and other offerings available through MCP GT.

2. Provision and Changes to the Service and Terms

   1. We may modify, suspend, or discontinue the Service at any time without notice.
   2. We may also update these Terms at any time. The latest version will be posted online and take effect immediately.
   3. Your continued use of the Service after changes means you accept the updated Terms.

3. Use of the Service

   1. You receive a non-exclusive, non-transferable, revocable right to use the Service under these Terms.
   2. You must comply with all laws and are responsible for all activity under your Account.

4. User Data, Data Protection, and Deletion

   1. You retain all rights to your User Data.
   2. We implement commercially reasonable security measures to protect User Data.
   3. We retain User Data while your account is active or as legally required.
   4. You may request deletion of your data. Under the GDPR (Article 17), individuals have a right to erasure, and we will comply unless we are legally required to retain data. For more details, see Article 17 GDPR.
   5. We may retain anonymized or aggregated usage data even after deletion of your account.

5. Billing, Payment, and Free Plan

   1. We offer:
      • A Free Plan with limited usage
      • A Usage-Based Plan billed on actual usage
      • A Flat Monthly Fee Plan with set pricing
   2. You must pay fees for your plan. Fees are typically non-refundable.
   3. We reserve the right to adjust pricing with notice.
   4. Failure to pay may result in account suspension or termination.

6. Intellectual Property

   1. We retain all rights to the Service, software, and underlying technology.
   2. You retain ownership of your User Data.
   3. You grant us a license to use your data only as needed to operate and improve the Service.

7. Indemnification

   You agree to defend, indemnify, and hold harmless MCP GT and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

   • Your use of the Service
   • Your violation of these Terms
   • Your User Data or content
   • Your violation of any laws or third-party rights

8. Disclaimers; Limitation of Liability

   1. The Service is provided "as is" with no warranties.
   2. We are not liable for indirect, incidental, or consequential damages.
   3. Our total liability is limited to the fees paid by you in the prior 12 months (or $100 if none).
   4. Some limitations may not apply depending on your jurisdiction.

9. Termination

   1. You may cancel your subscription at any time. Your access remains for the current billing period.
   2. We may suspend or terminate your access at any time, with or without cause.
   3. Upon termination, we may delete your User Data after a reasonable export window.
   4. Sections on indemnity, IP, limitations, and data may survive termination.

10. Miscellaneous

    • Governing Law: These Terms are governed by the laws of [Insert Jurisdiction].
    • Severability: If any provision is unenforceable, the rest remain in effect.
    • Entire Agreement: These Terms constitute the full agreement.
    • Assignment: You may not assign rights without consent; we may assign freely.
    • Notices: We may contact you via email or the Service itself.
    • Force Majeure: Neither party is liable for events beyond their control.
